1. Acceptance of Terms

Welcome to CashWith ("we," "our," or "us"). By accessing or using our payment profile sharing platform at cashwith.app (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

CashWith provides a platform that allows users to create and share payment profiles containing their various payment method handles and usernames. Our Service helps users discover compatible payment methods and facilitates the sharing of payment information for peer-to-peer transactions.

Important: CashWith does not process, facilitate, or conduct any actual financial transactions. We are solely a directory service for payment method information. All transactions occur directly between users through their chosen third-party payment platforms.

3. User Accounts and Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Choose a unique username that doesn't infringe on others' rights
  • Be responsible for all activities under your account
  • Maintain the security and confidentiality of your password
  • Notify us immediately of any unauthorized use of your account

3.2 Account Security

You are solely responsible for maintaining the security of your account credentials. We offer two-factor authentication and recommend enabling it for enhanced security. You agree to immediately notify us of any security breach or unauthorized use of your account.

3.3 Accuracy of Payment Information

You are responsible for ensuring that all payment method information you provide is accurate and up-to-date. Incorrect information may prevent successful transactions between users.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Service to:

  • Create and maintain a payment profile
  • Share your payment methods with friends and contacts
  • Discover compatible payment methods with other users
  • Connect with friends and save their profiles for easy access
  • Import contacts to find friends already using CashWith

4.2 Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Impersonate another person or entity, or falsely state your affiliation
  • Provide false, misleading, or fraudulent payment information
  • Engage in any fraudulent, deceptive, or misleading practices
  • Harass, abuse, stalk, threaten, or intimidate other users
  • Spam other users or send unsolicited communications
  • Attempt to gain unauthorized access to other accounts or systems
  • Use automated systems (bots, scrapers) without permission
  • Upload malicious code, viruses, or other harmful content
  • Interfere with or disrupt the Service or servers
  • Use the Service for any illegal activities or money laundering
  • Collect or harvest personal information of other users
  • Create multiple accounts to evade restrictions or bans

5. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use the Service. By using our Service, you agree to the collection and use of information in accordance with our Privacy Policy.

We implement various privacy controls, including smart privacy modes that allow you to control who can see your payment methods. You can adjust these settings at any time in your account preferences.

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of any content you submit, post, or display on the Service, including your profile information, bio, and avatar. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content solely for the purpose of providing and improving the Service.

6.2 Our Intellectual Property

The Service and its original content, features, and functionality are owned by CashWith and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. The CashWith name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CashWith.

6.3 Third-Party Content

Payment method logos, names, and trademarks belong to their respective owners. We use these solely for identification purposes and do not claim ownership of third-party intellectual property.

7. Payment and Financial Disclaimers

7.1 No Financial Services

CashWith is not a financial institution, payment processor, or money transmitter. We do not:

  • Process, facilitate, or conduct financial transactions
  • Hold, store, or transfer money or funds
  • Provide financial advice or recommendations
  • Guarantee the security or success of any transactions
  • Have access to your financial accounts or payment credentials

7.2 Third-Party Payment Services

All financial transactions occur directly between users through third-party payment services (such as Venmo, PayPal, Zelle, etc.). You are subject to the terms and conditions of those third-party services for any transactions you conduct.

7.3 Transaction Responsibility

You are solely responsible for all transactions you conduct with other users. CashWith is not responsible for any disputes, chargebacks, fees, or other issues arising from transactions between users.

8. Disclaimers and Warranties

8.1 Service Availability

The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not guarantee that the Service will be:

  • Available at all times or without interruption
  • Free from errors, bugs, or other defects
  • Secure or free from unauthorized access
  • Compatible with all devices or software
  • Meeting your specific requirements or expectations

8.2 User-Generated Content

We do not warrant the accuracy, completeness, or reliability of any user-generated content, including payment method information provided by other users. You should verify all information independently before conducting any transactions.

9. Limitation of Liability

To the fullest extent permitted by applicable law, CashWith and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Costs of procurement of substitute goods or services
  • Personal injury or property damage
  • Any damages arising from transactions between users
  • Any damages resulting from unauthorized access to your account

Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless CashWith and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit or share through the Service
  • Any transactions you conduct with other users
  • Your breach of any applicable laws or regulations

11. Termination

11.1 Termination by You

You may delete your account at any time through your account settings. Upon deletion, your profile and associated data will be removed from the Service, subject to our data retention policies.

11.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you:

  • Breach these Terms of Service
  • Engage in prohibited activities
  • Provide false or misleading information
  • Violate applicable laws or regulations
  • Harm or threaten other users

11.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Dispute Resolution

12.1 Informal Resolution

Before pursuing formal dispute resolution, we encourage you to contact us at support@cashwith.app to seek a resolution. We commit to working with you in good faith to resolve any disputes.

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida and the United States, without regard to conflict of law principles.

12.3 Jurisdiction

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Florida, and the parties hereby consent to personal jurisdiction and venue therein.

13. Beta Program Terms

CashWith may offer beta or preview features that are experimental and subject to change. Beta features are provided "as is" and may not be as reliable as generally available features. We may discontinue beta features at any time without notice.

If you participate in our beta program, you may be invited to provide feedback. Any feedback you provide may be used by us without restriction or compensation to you.

14. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you should stop using the Service.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CashWith regarding the Service and supersede all prior and contemporaneous written or oral agreements.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

15.3 Waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, strikes, or government actions.
